TERMS OF USE FOR ASE SOUL TRIBE

Welcome to the ASE SOUL TRIBE!

AST is a membership that helps connect people with community, healing, metaphysical learning and the conscious creators they love. “AST,” “we,” “us,” and “our” refer to Ase Soul Tribe, and Luna Ase Shop LLC, this platform, and the services offered by AST, including Shopify and Luna Ase Shop’s other websites. This Privacy Policy is part of our Terms of Use, and describes how we collect, use, and share information.

Terms of Use

Effective July 7, 2023

Ase Soul Tribe is a membership that helps connect people with community, healing, metaphysical learning and the conscious creators they love. Our mission is to empower conscious community building, and these terms attempt to do that. 

 

Your account

To summarize: You must be at least 18 years old to use AST. You are responsible for your account.

When you create an account, you must provide us with accurate information, in good faith, you agree to keep your information updated if it changes. To create an account or otherwise use AST, you must be at least 18 years old. You are responsible for anything that occurs when anyone is signed in to your account, as well as the security of the account. Please contact us immediately if you believe your account is compromised. You can learn more about security in our Security Policy.

Abusive conduct

To summarize: Be responsible and don’t violate our terms or policies.

You are responsible for all activity on your account. If you violate our terms or policies, then we may terminate your account. Don’t do anything illegal, abusive towards others, that abuses AST in a technical way, or that exploits AST in an unintended manner that is detrimental to us, like using AST as a storage platform. If you are a creator earning money on AST, we may be exposed to risk based on what you do with those funds. As a result, we may also look at what you do outside of AST. You can find more detailed information in the Community Guidelines and Security Policy. These terms and our policies cover most issues, but, if you find a new and creative way to hurt Luna Ase Shop or our community, we may take action to prevent it.

 

 

Restrictions

We don’t allow creations and benefits that violate our terms or policies. You can learn more by visiting our Community Guidelines and Benefit Guidelines. A high level summary of those rules is that we don’t allow:

  • illegal creations or benefits;
  • creations or benefits that are abusive towards other people;
  • creations or benefits that are misleading or deceptive;
  • creations or benefits that use others’ intellectual property, unless you have written permission to use it, or your use is protected as fair use; or
  • creations or benefits with real people engaging in sexual acts.

 

We are constantly experimenting with product features to make members better and may add, remove, or test features with a subset of creators. Access to these features is not guaranteed and may not be subject to your control. Instead, we may enable and disable these early-access, beta, or test features at our sole discretion. These features may also be subject to additional restrictions and limitations, including some that we describe in our Help Center. 

 

All about being a member

To summarize: A Soul Member is someone who subscribes and/or makes a purchase on AST, which may come with special benefits from creators they love. Through a subscription or offering on Luna Ase Shop LLC, AST may receive benefits and directly interact with members using tools supplied by us, and, through AST, have the opportunity to engage with a community of members and creators.

As a member, you’re supporting a creator and may receive special benefits like shoutouts, exclusive creations, or merchandise. You pay on a one-time or automatically-renewing subscription basis as specified; Luna Ase Shop is the billing entity that is associated with this charge.

The timing and amount of each subscription or offering depends on the type of subscription or offering you select and the creator you support. You can see the details prior to purchasing the offering or starting the subscription and you can view all your active subscriptions and your billing history.

To become a patron, simply subscribe or purchase a paid subscription or other offering on AST. Subject to these terms and full payment of all applicable charges, to the extent a subscription or offering includes access to one or more of a creator’s creations, you receive a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and view those creations for your own private, personal, non-promotional, non-commercial use. Creations you gain access to in this manner will generally continue to be available to you, but may become unavailable at any time as described below.

In addition to one-time purchases, there are three types of paid, automatically renewing subscriptions offered on Luna Ase Shop LLC. One is a monthly subscription where you pay per month. The second is a per-creation subscription where you pay per-creation posted by the creator. You can set a limit on the number of creations you pay for in a single month under this per-creation subscription model. The third is an annual subscription, where you pay for a year of access up front, typically at a discounted rate. Not all types of membership subscriptions are offered by all creators and the then current subscription options for a given creator will be presented to you prior to entering into the membership.

Each type of paid subscription automatically renews monthly (for monthly and per-creation memberships) or annually (for annual memberships) until you cancel via your membership settings. If your subscription includes a free trial, then, unless you cancel via your membership settings before your free trial ends, you will be charged for the first time after the specified free trial period ends and you’ll start an automatically renewing paid subscription on AST of the type you selected. Your recurring charge date may be earlier than the date you first subscribed for reasons including, for example, differences between your timezone and the timezone in which our billing systems operate and your most recent previous charge date being earlier due to variances in the length of months. The amount you are charged for a membership subscription may increase with notice to you. This enables creators to, for example, adjust membership prices to account for increased costs, new or different benefits, or other changed circumstances, just like any other business. Similarly, this enables AST to, for example, account for new currency exchange rates by refreshing the conversion rate applied when a member pays in a currency different than the one chosen by the creator. AST does not control the applicable tax that you may be charged and this amount may increase without notice to you.

You may cancel your free trial or recurring payments at any time, as described above.  For monthly and annual memberships, canceling or lowering the tier support of your membership will impact your next recurring charge. For per-creation memberships, lowering the tier support of your membership will impact your next per-creation charge and canceling your membership will go into effect before your next per-creation charge. You may also lose access to offerings you’ve purchased and membership subscription benefits if, for example and as applicable, your payment method fails, we terminate your account, the creator blocks you, the creator stops making offerings and/or memberships available on AST, the creator deletes their AST account, the creator changes who has access to an offering and/or membership, the creator removes a post or offering from their AST account, we remove the creator from AST, we change who has access to an offering and/or membership, or we remove a post or offering from from a creator’s AST account. We are not required to allow you to access an offering, be a member of, or to otherwise interact with any particular creator.

Membership subscriptions and offerings vary and we have limited control over the quality and specific benefits. We attempt to screen for fraudulent creator pages, but cannot guarantee the identity of creators or the validity of any claims they make. We appreciate your help reporting suspicious creator pages so we can keep the AST community safe.

 

Refunds. Our policy is not to provide refunds, including if you lose access to offerings and/or membership subscription benefits as described above, though we may allow for some exceptions where refunds are granted at our sole discretion. You can learn more here.

 

 

Ase Soul Tribe’s role

To summarize: We may look at some pages and posts on AST and review reported pages to identify potential violations of these terms and our policies.

We look at some pages and posts on AST to enforce these terms and our policies, including our Community Guidelines We also investigate reports of potential violations. These investigations may take a while to resolve and, primarily because AST may be exposed to risk based on what is done with funds earned on AST, may include reviewing activity outside of AST.

In most situations, we will work with creators and members to resolve any potential policy violations and allow the creator or member to continue using AST. Ase Soul Tribe and Luna Ase Shop may terminate creator or member accounts when we believe it is necessary to protect creators, other members, visitors, or the broader community, but it is not an action we take lightly.

AST reserves the right to remove a member or creator from participating in annual memberships. Removing a creator from participation in annual memberships will remove the option for further patrons to purchase annual subscriptions on ASR for that member. Removing a member from participation in annual memberships will prohibit that creator from purchasing further annual membership subscriptions on AST for any creator. This will not, however, result in an automatic removal of the creator or member from AST, unless there is an independent basis for that removal.

As a global company based in the United States with operations in other countries, we must comply with economic sanctions and trade restrictions, including those implemented by the Office of Foreign Assets Control (“OFAC”) of the United States Department of the Treasury. This means that we cannot take part in transactions that involve designated people, places, or items that originate from those places, as determined by agencies like OFAC. Account deletion

To summarize: You can delete your account ANYTIME. We can terminate or disable your account at our sole discretion.

You can permanently delete your account at any time by going to our Privacy Center.

We can terminate or suspend your account at any time at our sole discretion. We can also cancel any membership subscriptions and remove any descriptions, posts, offerings, or benefits at our sole discretion. You may not bring a claim against us for suspending or terminating another person’s account, and you agree you will not bring such a claim. If you try to bring such a claim, you are responsible for the damages caused, including attorneys’ fees and costs. These terms remain in effect even if you no longer have an account.

Your creations

To summarize: Creators keep full ownership of their creations and members keep full ownership of what they post on AST, but give us permission to use them as part of AST’s services. Make sure you have permission to post the creations that you make available on AST.

Creators keep full ownership of their creations and members keep full ownership of what they post on AST. By making creations available on AST or otherwise posting on AST, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license covering your creation or what you post in all formats and channels now known or later developed anywhere in the world to use, copy, reproduce, store, translate, transmit, distribute, perform, prepare derivative works, publicly display, and display in connection with any name, username, voice, or likeness provided in connection with it. If your creations contain any personal data, you also recognize AST’s “legitimate interest” in it in accordance with the scope of this license.

This sounds like a lot, but it’s important for us to operate our services, including hosting creations, providing and promoting memberships to your members, and enabling community features like post comments. For clarity, you keep full ownership over your creations and what you post on AST; we are not buying your intellectual property rights or leasing them from you for our gain. We will never try to steal your creations, use them in an exploitative way, or seek to profit off of them by any means other than facilitating memberships and offerings you’ve configured on AST. 

You agree not to make available creations or otherwise make posts on AST that infringe others’ intellectual property or proprietary rights. AST reserves the right to remove creations and other material that violate AST’s terms and policies, including these Terms of Use and the Community Guidelines. We respond to compliant notifications of claimed copyright infringement and have adopted and reasonably implemented a policy for terminating, in appropriate circumstances, the accounts of creators and AST who are the subject of repeated compliant notifications of claimed copyright infringement or other evidence that suggests a pattern of repeat infringement. Information regarding how this policy is implemented as well as the process for reporting or responding to notifications of claimed copyright infringement can be found here.

Members may not use creations posted by creators in any way not authorized by the creator, including sharing those creations with others who have not purchased the offering or subscription through which those creations were made available. 

 

To summarize: You agree that any bug reports or suggested improvements that you provide to AST will be fully owned by AST. Members can use our copyrights or trademarks to promote their AST pages, but can’t use them for anything else without our permission.

Our creations are protected by copyright, trademark, patent, and trade secret laws. We grant creators a license to use our logo and other copyrights or trademarks to promote their Ase Soul Tribe pages. You may not otherwise use, reproduce, distribute, perform, publicly display, or prepare derivative works of our creations unless we give you permission in writing. Please ask if you have any questions.

We welcome your feedback on the performance of the AST product, including any early-access, beta, or test features to which you’ve been given access, and your help in identifying any problems, bugs, and defects. You agree that any suggestions, comments, ideas, bug reports, or suggested improvements that you provide to us will be fully owned by us so that we can use them to improve AST and thereby better help the community of creators and members.

Indemnity

To summarize: If we are sued because of your use of or conduct on AST, you have to help pay for it.

You will indemnify us from all losses and liabilities, including legal fees, that arise from these terms or relate to your use of AST. We reserve the right to exclusive control over the defense of a claim covered by this clause. If we use this right, then you will help us in our defense. Your obligation to indemnify under this clause also applies to our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Warranty disclaimer

To summarize: We do our best to make sure ASR works as expected, but stuff happens.

AST is provided “as is” and without warranty of any kind. Any warranty of merchantability, fitness for a particular purpose, non-infringement, and any other warranty, whether express or implied, is excluded and disclaimed to the greatest extent permitted by law. The disclaimers of warranty under this clause also apply to our subsidiaries, affiliates, and third-party service providers.

Limitation of liability

To summarize: If you lose money as a result of using AST, any payment to you is limited to the amount of money we have earned through your use of AST.

To the greatest extent permitted by law, we are not liable to you for any incidental, consequential, or punitive damages arising out of these terms, or your use or attempted use of AST. To the greatest extent permitted by law, our liability for damages is limited to the amount of money we have earned through your use of AST. We are specifically not liable for loss associated with unfulfilled offerings and benefits and from losses caused by conflicting contractual agreements. For this clause, “we” and “our” is defined to include our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Dispute resolution

To summarize: If you have a problem, please talk to us. Any disputes with us must be resolved under California law.

We encourage you to contact us if you have an issue. If a dispute does arise out of these terms or in relation to your use of AST, then the dispute will be resolved in the federal or state courts located in Los Angeles, California. Both parties consent to the exclusive jurisdiction and venue of the Los Angeles courts for the purpose of resolving any such dispute. California law, excluding its conflict of law provisions, governs these terms, all other AST policies, and any dispute that arises between you and AST.

Information You Provide ASE SOUL TRIBE

This is information that you provide to us through text fields, such as your name, payment information, and benefits. The information of this type that we require you to provide differs depending on whether you create an account, become a member, purchase a subscription or other offering, and typically includes at least:

  • first and last name/surname;
  • email address;
  • phone number;
  • username;
  • password; and/or
  • county and state/province of residence.

 

SOUL MEMBERS

A ‘Soul Member’ is someone who subscribes and/or makes a purchase into the AST community, which may come with special benefits from creators they love. As a patron, you must provide your payment information to our payment partners. You can see the Privacy Policy for these payment partners on the Venmo, Apple, PayPal, Stripe, and Checkout sites. 

We collect and process information about the services you subscribe to, the memberships and other offerings you purchase, and what benefits you receive. As a member, if you select a membership or offering with a physical benefit then you will be asked to optionally provide your shipping information, including phone number. We may also derive your location from your self-disclosed country, your IP address, and/or your payment card.

 

Additional Information We Collect

Automatically Collected Information

We automatically receive information when you view creations on or otherwise interact with Luna Ase Shop, even if you have not created an account. For example, when you visit lunaaseshop.com, view or interact with a AST embed on another website or mobile app, or view or interact with an email from Luna Ase Shop, we may automatically receive information about you, including:

  • your IP address;
  • your approximate location (typically derived from your IP address);
  • your browser and/or device type;
  • your operating system;
  • your language settings;
  • the referring web page (including parameters contained therein);
  • your mobile carrier;
  • device information (including device and application IDs);
  • your search terms (including those not submitted as queries);
  • the links you click;
  • the pages you visit/the creations you load or request;
  • session length, dwell time, and duration of media experiences (including view time); and/or
  • cookie information (further detailed in our Cookie Policy).

 

Discord

We use Discord to host a chat platform for connecting with our community of creators and enabling creators to connect with each other. As you use AST’s Discord server, we may collect information including the time you joined the server, the time you left the server, profile information you configure, user roles you select, the channels you join, the messages you send, and edits that you make.

 

 

Information Collected by Third Parties

Cookies

Third parties may use cookies on our website. A cookie is a small text file that a website stores on your computer or mobile device when you visit the site. Cookies may be collected on third parties like, Discord and Shopify. 

 

Social Media & Chat Products, Features, and Widgets

We may use social media and chat products and features, including a Discord server, the Facebook Like button, and widgets, such as the Share button or similar interactive mini-programs. These features may collect your IP address and other personal data, including which page you are visiting on our site, and may set and/or read cookies. Social media and chat features and widgets are either hosted by a third party or directly on Discord. For more information on the technologies used by these third parties, the information they collect, and how that information is used, please refer to their respective privacy policies. How We Use Information

As applicable, we use the information we collect to:

  • verify your identity to comply with industry requirements, self-regulatory guidelines, and US federal, state, and international laws;
  • enable you to sign in to your account;
  • enable you to subscribe to creators and/or purchase subscriptions and offerings;
  • process payments and payouts;
  • apply VAT and/or sales tax;
  • deliver membership benefits and other offerings;
  • send physical merchandise to your shipping address;
  • send you messages and notifications, including push notifications, email, and SMS/MMS as controlled by your notification preferences;
  • provide you with information about AST, Luna Ase Shop products, and your memberships and offerings on AST;
  • provide you with customer support and reply to your questions;
  • promote your AST account and/or creator page for greater discoverability;
  • personalize the AST experience, including recommending creators to patrons;
  • market AST products and services to you or to audiences similar to you, including via personalized advertising (also referred to as online behavioral advertising or interest-based advertising) as controlled by your marketing preferences;
  • organize and tailor in-person and online events;
  • understand and analyze how you use the service;
  • conduct research and development to improve AST and develop our products and their features;
  • prevent fraud, abuse, and illegal activities on AST, including using automated processing and manual review; and/or
  • provide you with reasonable accommodation if you notify us of a disability.

Information Shared with Creators

By subscribing, purchasing a membership or offering on Luna Ase Shop LLC, and Ase Soul Tribe that is offered, you agree to share personal data with that creator including:

  • your full name in your AST profile;
  • your email address;
  • your other AST profile information, including your avatar image;
  • your physical address, city, state/province, and country if you select a membership or offering with a physical benefit and choose to provide your shipping information;
  • your phone number, when you have signed up to support a creator who engages with you via text messages, if you select a membership or offering with a physical benefit and choose to provide your shipping information, or when you have signed up for event notifications via text;
  • all information about your pledge, including amount and start date but not your full payment card information; and
  • some aggregated data about how you use AST, including analytics like post views, video views, and video view duration.

We may solicit your participation in surveys related to particular creators on AST. For example, when you subscribe and/or make a purchase on Luna Ase Shop LLC or when you cancel a subscription, you may be asked to optionally take a survey about that choice. If you choose to participate in that survey, then you agree that your responses, which, if specified, may include your personal data like full name and email address, will be shared with the associated creator.

When you use AST to send a message to another user, including a creator, the contents of that message will be shared with the recipients you select.

AST maintains a Data Processing Agreement governing how creators are permitted to process the information that is shared with them. We refer to this as the Creator Privacy Promise, which details a creator’s promise to protect the privacy of their patrons during and beyond their AST relationship. As part of offering and operating a creator page and/or membership on AST, a creator may use one or more third-party services. These third parties may, for example, host creations or help deliver benefits, including shipping packages to members. Accordingly, creators may share member personal data with such third-party services and/or enable members to elect to share personal data with such third-party services in order to receive offerings or membership benefits or otherwise participate in a membership or related event. 

Information Shared with the Public

The following information is publicly accessible or otherwise shared with members of the public:

  • Aggregated and otherwise non-personal data, including aggregated usage data in blog posts, press releases, or other ways to share information about AST usage and business.
  • Comments inherit the visibility setting of the associated post. Accordingly, comments on public posts are public and comments on posts with limited visibility are only visible to the audience of users to whom the author has made the post available. If a non-public post is later made public, then the comments on that post also become public.
  • For members:
    • your AST member profile, including your user name and profile picture;
      • the membership tier;
      • the posts you’ve liked; and
      • the comments you’ve made.

Information Shared with Third Parties

We never sell your information to third parties. Other than information that is shared with creators or shared with members of the public, we will only share data with third parties under the following circumstances:

  • Luna Ase Shop LLC’s service providers: these are companies that are contractually engaged with us to provide us with services, including cloud hosting, content distribution, security, order fulfillment, email and document management, internal communication/chat, analytics, credit card processing, multi-currency settlement solutions, and fraud detection and prevention. We may share your personal data with such service providers subject to obligations consistent with this Privacy Policy and any other appropriate confidentiality and security measures, and on the condition that these third parties use your personal data only on Luna Ase Shop LLC’s behalf and pursuant to our instructions (service providers may use other non-personal data for their own benefit).
  • Law enforcement and government agencies: to protect the security or integrity of AST, as well as to protect the rights, property, and safety of Luna Ase Shop LLC, its employees, creators, or others if we believe that disclosure is reasonably necessary to comply with a law, regulation, or other valid legal process (e.g. subpoenas or warrants served on AST). If we are going to release your data pursuant to such a request or demand, we endeavor to promptly notify you (typically by email) unless we are prohibited by law from doing so.
  • Any third parties connected with the sale, merger, bankruptcy, sale of assets, or reorganization of our company: in such a circumstance the promises in this Privacy Policy apply to any data transferred to a new entity.

 

 

California Privacy Laws

Luna Ase Shop LLc’s headquarters are located in California, USA.

The California Consumer Privacy Act (CCPA) allows California residents to request access to the specific pieces and categories of personal information that the business has collected about the consumer, the categories of sources for that information, the business or commercial purposes for collecting the information, and the categories of third parties with which the information was shared.

AST provides California residents and all users with the right to view, access, or transport their information at the Luna Ase Shop LLC Privacy Center. All users also have the right to submit a request to delete information by going to the Luna Ase Shop LLC Privacy Center, clicking on the "Make a Privacy Request" button and requesting "Erase." We do not discriminate against users who exercise their privacy rights.

Under California’s “Shine the Light” law (Civil Code section 1798.83), California residents have certain rights regarding the disclosure of their information to third parties for their own direct marketing purposes. AST’s policy is not to share your information with third parties for the third parties’ direct marketing purposes if you have exercised your option to prevent that. If you wish to not have your personal information shared for those purposes, you may adjust your preferences or request that we delete your personal information by following the steps outlined above.

EU Privacy Laws and Data Transfers

AST and Discord are global companies. By using AST, you agree that your personal data may be transferred to and stored in the United States, and handled as described in this Policy. AST acts as a data controller, as defined under applicable law. If you reside in the European Union (including EFTA States), the United Kingdom, or Switzerland, AST Portugal acts as a controller of your personal data. If you reside anywhere else, acts as a controller of your personal data.

AST processes personal data based on different legal grounds depending on the circumstances. This includes performance of a contract, legitimate interest, legal obligation, and consent where appropriate. Where we rely on consent, you may withdraw such consent at any time.

Contractual Protections Covering Transfers

Where appropriate, AST transfers of personal data of individuals in the European Union (including EFTA States) and the United Kingdom outside of those locations are performed based on contractual obligations placed on the recipient of the personal data.

Privacy Shield Principles and Framework

AST, Inc. complies with the EU-U.S. Privacy Shield Framework and Swiss-U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use, sharing, and retention of personal data transferred from the European Union (including EFTA States), the United Kingdom, and Switzerland to the United States. We do not, however, rely on the EU-US or Swiss-US Privacy Shield as our lawful basis to transfer personal data from the European Union, EFTA States, or the United Kingdom. With respect to the personal data received or transferred pursuant to the Privacy Shield Frameworks, AST. is subject to the regulatory enforcement powers of the US Federal Trade Commission. Under certain circumstances, Privacy Shield participants may be liable for the transfer of personal data from the EU, EFTA States, or the United Kingdom to third parties outside the EU, EFTA States, and the United Kingdom. If you have a dispute with us about our Privacy Shield compliance, we ask that you first submit any such complaints directly to us at lunaaseshop@gmail.com.

Complaints

We take your privacy queries seriously, and are committed to resolving any complaints that may arise about our collection or use of your data. If you believe your privacy rights have been infringed, we encourage you to contact our DPO at lunaaseshop@gmail.com. You may also have the right to complain to the appropriate data protection supervisory authority.

Establishing an Authorized Agent

You may designate an authorized agent to make a request on your behalf. In order to designate an authorized agent to make a request on your behalf, you must provide a valid power of attorney, the requester’s valid government ID, and the authorized agent’s valid government ID. Please contact lunaaseshop@gmail.com with your request. In order to prevent an unauthorized takeover of your account or unauthorized access to your personal data, we may decline access to or recovery of your account at our sole discretion.

Our Data Retention Period

AST stores your personal data until it is no longer necessary to provide our services, or until you ask us to delete it. We may continue to retain some information even after you delete your account if we are required to do so in order to comply with applicable laws.

Security

The security of your personal data is important to us and we follow industry standards to protect it. You can learn more on our Security Policy page.

Children

AST is not directed to children, and you may not use AST if you are under the age of 13. You must also be old enough to consent to the processing of your personal data in your country (in some countries we may allow your parent or legal guardian to do so on your behalf). You must be at least 18 years old or have your parent’s or legal guardian’s permission to have a creator page on AST or to purchase an offering or subscription on AST. You must be at least 18 years old to subscribe to an Adult/18+ creator or purchase an offering related to such a creator.

Changes
